ANNUAL MEETING OF SHAREHOLDERS
The Annual Meeting of Shareholders will be held in Houston, Texas, in the LaSalle Ballroom of the Doubletree Hotel at Allen Center, 400 Dallas Street, on Tuesday, May 1, 2001, at 10 a.m. Information with respect to this meeting is contained in the Proxy Statement sent with this Annual Report to holders of record of Enron Corp.’s Common Stock and the Cumulative Second Preferred Convertible Stock on March 2, 2001. The 2000 Annual Report is not to be considered a part of the proxy soliciting material.

DIVIDEND REINVESTMENT
The Transfer Agent offers holders of Enron Corp. Common Stock the oppor-tunity to reinvest part or all of their dividends in the purchase of additional shares of Common Stock by participating in the DirectSERVICE Program for Shareholders of Enron Corp. This pro-gram gives almost everyone the oppor-tunity to purchase additional shares of Common Stock without paying a bro-kerage commission. Anyone wishing to participate in the program may, upon timely application, reinvest some, all, or none of the cash dividends paid on their Common Stock, or make optional cash payments of as little as $25, after an initial investment of $250 for new shareholders, with a limit of $120,000 per calendar year.
