REBECCA A. MCDONALD NAMED EXECUTIVE MANAGING DIRECTOR OF ENRON INTERNATIONAL

FOR IMMEDIATE RELEASE: Wednesday, February 03, 1999

HOUSTON – Enron International (EI), a wholly owned subsidiary of Enron Corp., announced today the appointment of Rebecca A. McDonald as executive managing director. McDonald will oversee EI’s development efforts in the Africa, China and Asia-Pacific regions. In addition, McDonald will focus on upstream origination, identifying strategic financial transactions and developing the company’s interests in the steel industry. She will report to the office of Enron International President and CEO Joseph W. Sutton and will serve on EI’s management committee.

“Rebecca is a recognized leader in the energy marketplace,” Sutton said. “She brings invaluable industry knowledge and international development and finance expertise to our operations.

“Rebecca has spearheaded innovative global gas strategies and developed integrated approaches to maximize business performance,” Sutton added. “I am pleased that Rebecca has joined our strong management team, which is committed to continuing Enron’s outstanding international position in the industry today.”

McDonald, 46, most recently served as president and CEO of Amoco Energy Development Company, where she was responsible for developing equity interests in international exploration and production operations. In addition, McDonald led the company’s participation in and expansion of international commercial transactions, privatizations and capitalizations. She oversaw the creation and completion of numerous successful projects. These include the Atlantic liquefied natural gas project and a methanol plant in Trinidad; an Algerian production new venture; capitalization of Bolivian National Oil Company; a gas pipeline from Argentina to Uruguay; Egyptian gas sales; an integrated gas storage tank project in the Netherlands and many others.

McDonald served as the 1998 chairman of the Natural Gas Supply Association and currently is a member of the advisory boards of the Natural Gas Association of Houston and New York Mercantile Exchange Natural Gas Futures. In addition, McDonald serves as a director of the Natural Gas Council and is a founding member of Mercosur Council.

McDonald serves on the boards of directors of the Granite Construction Company, Morton International and the Texas Business Hall of Fame. She also is a trustee of the Chinquapin School and serves on the Houston Museum of Natural Science’s executive committee.
